Corporate Compliance Plan for Riordian Riordian Manufacturing Inc. makes plastic products through the process of plastic injection molding. The main industries that use Riordian products are automotive parts manufactures, aircraft manufactures, aero space manufactures, beverage manufactures, and home appliance manufactures. The company’s annual revenues are $46 million. The company employs 550 people throughout three plants located in Georgia, Michigan, and China. Research and development is done at the corporate headquarters in San Jose, California. In 2000, Riordian Manufacturing Board of Directors decided to expand its operation in China in order to be more competitive in the global market. After completing an extensive market analysis of all their manufacturing plants, they decided to close the Michigan plant. With the expansion and move the company will have to make some significant changes within the company. The conversion of company policies to international policies will be handled by Robert Trujillo, the company compliance officer. The main parts of the compliance plan will include the following changes: • Internal controls to adhere to the Sarbanes Oxley Act • Conduct Training and Education Programs for new and transferred employees • Organizational Structure • People and the Work Place [spelling error -- the preceding two words should be spelled as one word] The compliance officer will describe how each of the above topics will be used within the company. He’ll use research data, tables, and figures to help explain how the company will continue to be a leader in plastic injection molding.
Internal controls to comply with the Sarbanes Oxley Act The first item of business will be the internal controls to meet the requirements of the Sarbanes Oxley Act of 2002. To make a smooth transition to China, the company will have to adhere to strict, accurate, and reliable business records. It will be the duty and responsibility of each employee in charge of handling money to prepare and maintain all company records with honesty and accuracy. The company’s fiscal department must adhere to the Sarbanes Oxley Act of 2002 to provide accurate and fair fiscal reports to upper management and to the Security and Exchange Commission (SEC). This law was created to stop scandalous accounting practices within corporations. To help us meet Sarbanes Oxley requirements we’ll use the Karl Nagel & [Do not use an ampersand except in citations and on the sources page.] Co. (2002) as an example. In the Karl Nagel and Co. document it they state: “to enhance the standard setting process for accounting practices, to strengthen the independence of firms that audit public companies, to increase corporate responsibility and the usefulness of corporate financial disclosure, to protect the objectivity and independence of securities analysts, to improve Securities and Exchange Commission resources and oversight, and for other purposes.” (para. 3).
Establish and Conduct a Comprehensive Training and Education Program Each employee transitioning to the China facility will have an “Individual Development Plan (IDP)” developed. For an example see Figure 1. The IDP will be tailored to help the supervisor/manager identify and asses the training needs of each employee. Supervisors and managers will use this information to request training, ensure training attendance, and evaluate training effectiveness. Our proposed training plan and IDP will help us improve customer service, help our employees meet their job requirements, retain our competent and trained employees, improve productivity, and improve employee performance. The management decision of putting time up front for training will lead to greater results in the end. Therefore, training is an investment for the continued success of our company. Our training and education program will help transitioning personnel and new hires better understand the company mission and goals. For new employees, the training program will be part of the new hire orientation process. At the end of each training class the employee’s supervisor/ manager will provide a written acknowledgement that the employee successfully completed the training. The written acknowledgement will be kept in the employee’s personnel file. Each manager is required to maintain a file of all the training the employee attends and completes. In an effort to help foster company training objectives a manager could provide the following training as shown in Table 1 to all assigned personnel. The suggested training will provide a broad scope of problem solving and sales techniques the employee should understand and use to enhance the goals and objectives of the team.
Organizational Structure Currently the company’s organizational structure is a centralized bureaucracy shown in Figure 2. This type of organizational structure has very specialized, rigid departmentalization, chain of command, and centralization in making decisions from the top down. Robins (2006) stated, “bureaucracy is characterized by highly routine operating tasks achieved through specialization, very formalized rules and regulations, tasks that are grouped into functional departments, centralized authority, narrow spans of control, and decision making that follows the chain of command.” (pg. 546). Riordian will use the organic modeling structure instead of the centralized bureaucracy organizational structure. This organic structure will let individual’s, have cross functional learning, cross hierarchical teams, both directions of communication between the different teams, greater span of control, less formalization between management that is shown in Figure 3. This type of structure will help each department communicate from the executive level down to the plant managers without having to go through the chain of command of communication. Robbins (2006) stated, “using cross hierarchical and cross-functional teams, has low formalization, possesses a comprehensive information network (using lateral and upward communication as well as downward), and involves high participation in decision making.” (pg. 554).
People and the Work Place [spelling error -- the preceding two words should be spelled as one word] The company will have a diverse workforce and will not discriminate against any employee or job applicant’s based upon race, religion, creed, color, origin, sex, or disability under Title VII of the Civil Rights Act of 1964. Jennings (2006) states, “Title VII of the Civil Rights Act of 1964—also known as the Fair Employment Practices Act—as amended in 1991, prohibits discrimination in all areas of employment on the basis of race, color, religion, national origin, and sex (including pregnancy, childbirth, or abortion)” (pg. 789). The company will provide a safe work environment by providing a drug free work environment. Therefore, Riordian prohibits unlawful possession, use, or distribution of alcohol, illicit drugs, or controlled substance on all company facilities. Anybody in violation of this policy will be subject to immediate disciplinary action. Riordian has the right to test any employee if they [Pronoun agreement: since the antecedent (?) is singular, the pronoun(s) must be singular (he or she)] suspect abuse of illicit drugs, controlled substance, or alcohol. For detailed information, please read the Company’s Substance Abuse Policy outlined in the employee handbook. Violent behavior will not be tolerated on company premises and any employee not adhering to this standard will be subject to immediate discipline. The behavior includes intimidation, brandishing weapons, or any behavior that employee feels they [Pronoun agreement: since the antecedent (?) is singular, the pronoun(s) must be singular (he or she)] are being threatened. The company has a strict policy of prohibiting weapons in the workplace, vehicles, or warehouses.
Conclusion
A compliance code plan is an outline for the company to follow to ensure the company limits the legal liabilities of its customers and employees. Riordian Manufacturing Inc. is expanding it production to a global company and with this expansion the company will need to make changes to meet the different demands for the company. To meet this demand the compliance officer has analyzed certain changes the company needs to make in order to minimize risk. The company identified four areas that need to be addressed: (1) internal controls (2) training programs (3) organizational structure, and (4) work place [spelling error -- the preceding two words should be spelled as one word] environmental factors. The compliance of internal controls is that of accounting functions the company will follow to comply with provisions of the Sarbanes Oxley Act of 2002. The training program will enable every employee to meet the goals and mission objectives of the company. Managers will be required to make sure their employees have the opportunity to have training and complete it. Training accomplished will be documented in the employee’s personnel file. Company organizational structure will change to an organic structure which will improve communication within each division and department. The company work environment will provide a diverse background and will not discriminate as outlined in the Civil Rights Act of 1964. The company will provide a drug free work environment for company employees and will not tolerate violence or adverse behavior in the workplace.
