Contracts we use them on our daily lives even if we do not want to acknowledge them. They are agreements between two or more groups, written down to ensure both parties have an agreement on what is expected of them. There are many types of contracts and we use them for different situations, from getting married to buying a house. We are going to explain some types of contracts and how we have used them in our daily lives.
Adhesion Contracts is one party has more power than the other in creating a contract. It also means the party that has the most advantage leaves the other party with no option. It is also known as “take-it-or-leave-it contracts”. It is not necessary that all adhesion contracts are unacceptable contracts, but in some cases one party has a superior bargaining benefit, leaving no option for the other party. For instance, this can happen in monopolistic markets. An example of adhesion contract is an insurance contract. The company or the agent has the most power, while the policyholder only has the right of rejection. They cannot create a new contract. It is very important to read the contracts carefully.
Aleatory Contract is a type of contract which the parties involved does not have to perform a particular action until the event occurs like a natural calamity. Both parties may assume risks. Aleatory contracts are commonly used in insurance policies. The insurer does not have to pay until a disaster occurs, such as a fire, or other property losses. Bilateral contract also known as a two-sided contract because of the two-way promises made by the both parties involved in the contract. An example of bilateral contract is when a house is in sale. The home owner agrees to pay the seller a certain amount of money in exchange for the title of the home. Unilateral contract is when one party is legitimately obligated to support the

...in power generation group. He works in US.A as expat to deal with global contract negotiations. Interview Questions and Discussions: 1. When you think about your career as a manager, certain events or episodes stand out in your mind--things that changed you in some way and have ultimately shaped you as an executive. Please choose three of these experiences that have had a lasting impact on you as a manager or executive in international work. When I meet with you, I will ask you about each of these "key events" in your career: What happened? What did you learn from it (for better or worse)? Mr. Augusto Bulte: I will start with my experience with Foster Wheeler Poland; we had to negotiate a contract with Poland Natural Gas (PLNG) Company, it is a national company that follows procedures dictated by polish law not like ExxonMobil or Shell. Dealing with national company in Poland means that you have to bid exactly what they ask for, there is no room for deviation or tolerance; we had to search for sub-contractor to complete the required scope of supply. Our first proposal has been rejected by PLNG Company; unfortunately eastern European companies have a lot of bureaucratic procedures in their projects, for example if they requested a crew of 10 workers and we provided a crew of 11 workers, the bid will be rejected because we did not comply with what Client was asking. I learned from this experience that Poland was very influenced by communism; it was my...

Staffing Plan

...External recruiting for the manager, supervisors, and leads positions will be conducted in a different manner because reaching a large population will require posting job openings electronically on the Internet, and advertisement in paper media. Recruiting for the exempt or special skills positions would also require recruiters surveying universities for their top students, for instance an MBA and two years experience are key requirements for the facility manager position. The operations and maintenance supervisor position may require a Bachelor of Science Degree in Mechanical Engineering, or Civil Engineering with one-year experience. A Bachelor of Science Degree in Business Management or Administration with one-year experience in customer service may be required for a tenant services supervisor. Skilled certificates in a particular trade, such as plumbing, electrical, construction, or air conditioning would be sufficient for the leads positions. Contractors or third party services recruiting can be satisfied by surveying internal organizations within the corporation for recommendations, whereas for external recruiting, Internet and paper media advertisements will suffice. When recruiting contractors or third party services, a bidding process will take place to ensure that services can be obtained at a good rate, another criterion for selection or elimination would be safety performance. A company that has poor safety performance could eventually cost the primary company...

Week 2 Assignment

...------------------------------------------------- Is the oral contract between Briggs and Sackett in violation and voidable under the Statute of Frauds? In Briggs v. Sackett, Briggs bought a home under mortgage but came upon unforeseeable financial instability. The Briggs then spoke with their in-laws, the Sacketts, about purchasing the home with the conditions that they pay the 3 months arrearages or the overdue balance on the loan and take over the expenses of the home (future payments, utilities, etc.). After hearing the offer, the Sacketts accepted the Briggs’ conditions for the purchase of the home and an oral contract was put in motion. The Sacketts moved in. Years later Mr. Briggs filed an action under the Statute of Frauds, that the oral contract they made with the Sacketts was voidable because it was in violation of the Statute of Frauds (Briggs v. Sackett, 1980). Per our book, under the Statute of Frauds, contracts that involve the sale of real estate are required to be in writing. Generally, if an oral contract was made but required to be in writing, under the Statute of Frauds the oral contract would be unenforceable (Cheeseman, 2010, p.220). In the case of Briggs v. Sackett, should Briggs’ action of filing with the court to void their oral contract and evict the Sackett family be enforceable? No, the Sackett family should be considered an exception to the rule, an equity exception of part performance. “If an oral contract for the sale of land or transfer of another...

Midsouth Chamber of Commerce, Competency and Complacency: A Case Study Analysis This Midsouth Chamber of Commerce MSCC Case Study is an examination of how NOT to manage information technology. Many things went wrong in this organization’s pursuit of greater efficiency. While some of it can be attributed to natural but painful growth, basic human character and leadership flaws account most of the problems MSCC endured. I will analyze the mistakes that were made which led to internal strife, crippled productivity and decreased morale. I also want to assess the performance of Mrs. Sage Niele, their newly appointed Vice President/Chief Financial Officer. Finally, I will critique what we are told about Data Management Associates (DMA), and their contract with MSCC. Caught In The Middle Of Technology The Midsouth Chamber of Commerce had been in business for over 80 years. They knew what they were doing, and they knew how to anticipate the needs of the business community. In these...

...because the investments were subject to lock-up agreements.2 Enron’s Chief Financial Officer (CFO) and others realized it was likely these investments would experience significant drops in value before they could be sold, but the investments could not be hedged commercially. Therefore, the CFO designed transactions that would, from an accounting point of view, keep the anticipated losses out of Enron’s income statement. This paper explains Enron’s hedging transactions with special purpose entities (SPEs) that allowed the company to overstate its true economic profit.3 The paper first provides an overview of risk management and explains how particular derivatives used by Enron and other companies help manage risk. The paper then analyzes Enron’s unique hedging schemes and provides insights with respect to their structure as well as the motivation for their creation. In addition, this section of the paper describes how the SPEs were used to keep losses out of Enron’s financial statements, how investors in the SPEs were provided with massive financial returns on modest investments, and why Enron’s declining stock price ultimately exposed the questionable activities of the CFO and others. The third section of the paper addresses specific, improper accounting employed by Enron, including consolidation rules. Finally, the paper discusses the Financial Accounting Standards Board Exposure Draft on the Proposed Interpretation that would change the consolidation rules and also considers...
