STOCKGAP NIGERIA LIMITED, a company duly incorporated under the laws of the Federal Republic of Nigeria with its principal place of business situate at No 15a Nnamdi Azikiwe Road, Ecobank Building, 2nd floor, Old GRA, Port Harcourt, Rivers State (hereinafter referred to as “the Company” which expression shall where the context so admits include its successors-in-title, legal representatives and assigns) of the one part
And
GIL AUTOMATION NIGERIA LIMITED, a company duly incorporated under the laws of the Federal Republic of Nigeria with its principal place of business situate at …………………………………….. (Hereinafter referred to as “the Contractor” which expression shall where the context so admits include its successors-in-title, legal representatives and assigns) of the other part.
In this Agreement, the Contractor and the Company shall be jointly referred to as “Parties” and individually as “Party”.
WHEREAS:
a) The Company is desirous of engaging the Contractor to carry on electrical, instrumentation, fire/gas detection and suppression erection scopes and other related works (the Works) at its Liquid Hydrocarbons and LPG Terminal at Rumuolumeni, Port Harcourt office in Rivers State, Nigeria.
b) The Contractor is willing to carry out the works at the Company’s Liquid Hydrocarbons and LPG Terminal and has drawn up the scope of works showing the materials to be installed, manufacturer, unit rate and amount.
