OUTSOURCING STRATEGIES. HOW TO FORMALIZE AND NEGOCIATE THE OUTSOURCING CONTRACT

Durante las últimas décadas se ha vuelto evidente el hecho de que la globalización se ha convertido en un factor inevitable que continuará cambiando el ambiente de los negocios. En realidad la globalización y el outsourcing pueden ser considerados lo mismo ya que éste último está definido como un acto de mover algunas de las actividades internas de la empresa y las responsabilidades de decisión a proveedores externos.
Poco más de la mitad de las compañías se encuentran satisfechas con su outsourcing, el cual se ha reducido considerablemente desde hace una década y considerando los avances tecnológicos de hoy en día es un hecho que resulta muy alarmante. El ambiente de negocios se ha vuelto cada vez más pequeño debido a las innovaciones tecnológicas y continuará así los próximos años. La verdad detrás de todo esto permanece en la pregunta ¿porqué una empresa debe utilizar outsourcing? El proceso de outsourcing se ha vuelto más sencillo pero la razón del outsourcing sigue siendo la principal cuestión que decidirá el destino de cualquier empresa.
Una vez que logremos responder la pregunta anterior es de suma importancia analizar las siguientes cuestiones: ¿con quién debe hacerse el outsourcing?, ¿cómo debe negociarse?, ¿qué tipo de relación se debe establecer? y finalmente, ¿cómo se planearán las actividades y funciones de dicho outsourcing?
Basándome en las cuestiones mencionadas previamente, este escrito se enfoca en el análisis de las etapas fundamentales de la estrategia del outsourcing (desde la razón por la cual se busca el outsourcing hasta el contrato y establecimiento de relación que se acordará con el proveedor del servicio) esto con la finalidad de crear una evaluación más comprensiva y contribuir el entendimiento sobre el tema en general.

Ultimadamente las estrategias de outsourcing han sobrellevado una gran evolución, trasladándose de formas simples de contratos de producción que comprenden a terceros a acuerdos que implican distintas funciones de importancia estratégica: de la innovación tecnológica a la logística, de las relaciones con los clientes a los servicios post-venta.
La decisión de outsourcing no se restringe a la producción marginal con poco contenido tecnológico, pero se encuentra cada vez más involucrado en actividades que requieren de competencias básicas que forman parte de la actividad principal de la organización, actividades que hasta ese momento eran consideradas parte fundamental e inseparable de la compañía y por lo tanto no utilizarían outsourcing.

Si consideramos el outsourcing desde una perspectiva estratégica de largo plazo podemos identificar ventajas significativas como: incrementar el rendimiento de los recursos internos a través de la concentración de las inversiones; crear y a la vez proteger las ventajas competitivas a través del desarrollo y fortalecimiento de las competencias básicas y la construcción de barreras contra los competidores; proporcionar incentivos a las inversiones de los proveedores por sus innovaciones, conocimientos y actividades especializadas para que puedan mantenerse dentro de la compañía y la reducción de los riesgos en mercados de rápido cambio con rápida evolución tecnológica.

Según Jennings, la estrategia de outsourcing puede presentarse a través de un modelo más general el cual se resume en seis distintas fases (Jennins 1996:393:405).

La primera fase consiste en definir claramente los objetivos y asignar el outsourcing como parte de la estrategia general de largo plazo de la empresa. De igual manera es necesario que se evalúe si el outsourcing es una estrategia factible para la compañía tomando en consideración sus objetivos estratégicos actuales para que la decisión de contratación externa no impacte negativamente la posibilidad de alcanzar las estrategias y misión de la organización, incluyendo costos, calidad, flexibilidad y plazos.

Las actividades y funciones que deben ser externalizadas entran en la segunda fase donde la información necesaria debe ser recolectada. Se debe recopilar y analizar información suficiente sobre qué productos, servicios y funciones deben ser subcontratados así como bajo qué niveles de rendimiento se espera que tengan y cuáles son preferibles que permanezcan dentro de la empresa.

Cuando se cuenta con la información necesaria y suficiente sobre la(s) posible(s) empresa(s) de outsource se procede a la tercera fase del proceso donde se disputa la elección de la mejor opción. Para poder identificar a un grupo de candidatos potencialmente fiables es necesario establecer ciertos criterios de evaluación para facilitar la decisión final. Otros aspectos importantes que deben ser considerados son el tamaño del proveedor, la posición geográfica entre el cliente y el proveedor, si cuenta o no cuenta con subproveedores locales que intervienen cuando el proveedor principal se encuentra muy alejado del cliente o los tiempos de transporte son comprometedores.

La cuarta fase consiste en la negociación del contrato. El objetivo principal en este punto del proceso consiste en acordar un contrato donde estrictamente se establezcan los servicios requeridos pero al mismo tiempo pueda ser lo suficientemente flexible como para que se le permita al cliente la adición de futuros servicios como respuesta a acontecimientos no considerados o imprevistos. Debe negociarse un acuerdo que resulte justo y equitativo para ambas partes y es recomendable que se especifiquen las prestaciones que se esperan de cada socio, la forma en la que deben medirse y su remuneración así como la seguridad de que si surgen controversias se resolverán.

Una vez que finaliza la negociación del contrato inicia la penúltima fase del proceso en la cual se planea detalladamente cuáles serán las actividades que se transferirán al proveedor y la manera en la que se llevará a cabo la transferencia. Un grupo de trabajo temporal debe poner especial atención a que se involucren activamente todos aquellos empleados cuyas actividades pueden verse afectadas por la transferencia y que los gerentes de las funciones o de las partes de la organización subcontratada participen activamente en todo el proceso de toma de decisiones.

Por último, en la sexta etapa se debe elegir la relación más adecuada entre la empresa y el proveedor subcontratado. Lo más común en este punto es que la empresa contratadora busque mantener control sobre el proveedor. Las principales características de la posible relación entre el comprador y el proveedor dentro de un contexto de outsourcing se resumen en cinco tipos: comprar el mercado, relación permanente, asociación, alianzas estratégicas e integración aguas arriba.
Si surge incertidumbre en cuanto a la importancia de los objetivos del comprador dentro de la relación de outsourcing, entonces la relación con el proveedor debe ser bastante cercana. Una solución a esto se encuentra en la integración vertical o en las alianzas estratégicas.

Cuando una empresa se ha decidido por outsourcing y ha establecido las actividades en las que se involucrará deberá continuar con la implementación de todo lo establecido. Es importante mencionar que la fase más importante y de mayor necesidad dentro de la estrategia del outsourcing son las decisiones de los objetivos a cumplir a través de toda la estrategia y actividades que se subcontratarán. Las últimas fases se refieren a la elección de los proveedores, la negociación del contrato, la tranferencia de actividades, y la relación que se debe establecer con el proveedor requieren en todo cado de una evaluación cuidadosa y por lo tanto debe ser adecuadamente planificada con el fin de garantizar el éxito de la estrategia de outsourcing.
