Facts

William Shlensky (plaintiff) was a minority shareholder of the Chicago Cubs baseball team. Shlensky brought derivative suit against major shareholders, owner, and corporation for negligence and mismanagement. Major shareholder and president, Phillip Wrigley (defendant), owned about eighty percent of shares. Shlensky called for the installation of lights at Wrigley Field so night games could be scheduled because, his claim, that all other major league teams have already done so. Pursuant to Shlensky, the Cubs have not installed lights due to Wrigley’s claim that baseball should be played during the day as it is a daytime sport.
