1.-CONTRATO DE AGENCIA

definición: El contrato de agencia es aquel por el que una persona física o entidad jurídica independiente (“el agente”), se obliga frente a otra (“el empresario”) a promover operaciones de comercio por cuenta ajena, de manera prolongada y a cambio de una remuneración

Utilidad: aquellos usados para que tus mercancías lleguen hasta los consumidores auxiliándote de una persona experta en materia de exportación que actuara como representante o en nombre propio

Partes que lo integran: agente y mandante o principal.

2.- CONTRATO DE FRANQUICIA

definicion: dirigido a la comercializadora de bienes y servicios, por la cual una persona concede a otra por tiempo determinado el derecho de usar una marca o nombre comercial.

Partes que lo integran: franquiciador y franquiciado

Utilidad: La franquicia, además de otorgar la licencia para el uso y explotación no exclusiva de su marca o nombre comercial, el franquiciante le transmite al franquiciado una gama de conocimientos y experiencias que le permiten a este último llevar a cabo la operación eficaz del negocio de forma uniforme con métodos comerciales y administrativos probados en diferentes mercados

3.- CONTRATO DE ARRENDAMIENTO FINANCIERO

definición: es un contrato mediante el cual, el arrendador traspasa el derecho a usar un bien a un arrendatario, a cambio del pago de rentas de arrendamiento durante un plazo determinado, al término del cual el arrendatario tiene la opción de comprar el bien arrendado pagando un precio determinado, devolverlo o renovar el contrato.

Bienes sujetos al arrendamiento financiero.
Monto de la operación
Plazo de la operación
Condiciones de la operación
Seguro o garantia

4.- CONTRATO DE COMISIÓN MERCANTIL
Definición: contrato por el cual una parte, llamada comitente, encarga a otra, llamada comisionista, la conclusión de uno o más negocios por su cuenta y riesgo, pero de naturaleza mercantil
Partes que intervienen: comitente y comisionista

Extincion del contrato :
Incumplimiento del encargo
Revocacion del nombramiento
Muerte o inhabilitacion del comisionista

5.- CONTRATO DE LLAVE EN MANO

Definición: aquel en que el contratista se obliga frente al cliente o contratante, a cambio de un precio, generalmente alzado, a concebir, construir y poner en funcionamiento una obra determinada

Partes que lo integran: contratista y cliente o contratante.

Obligaciones del contratista:
El suministro de materiales y maquinaria
La realizacion de las obras civiles
La instalacion y montaje
La puesta a punto y en funcionamiento de la obra proyectada

6.- CONTRATACIÓN ELECTRÓNICA INTERNACIONAL:

Podemos definir la contratación electrónica o telemática como el tráfico de mensajes dentro de una red que permite la negociación, conclusión y ejecución de contratos.” incluye la contratación telemática civil (entre particulares y/o empresas fuera de su actividad), mercantil (o comercio electrónico), la contratación con condiciones generales y electrónicas, la contratación telemática de productos físicos y servicio de prestación y la contratación de servicios de la sociedad de la información.

7.- CONTRATO DE CONCESIÓN

Definición: Un contrato de concesión es aquel contrato entre dos personas con el objeto de otorgar a una persona llamada concesionario, la prestación, operación, explotación, organización y/o gestión, total o parcial, de un producto, marca o servicio, o la construcción, explotación o conservación de una obra o bien destinados al servicio o uso público como en el caso de las concesión que hace el estado para la construcción y administración de una autopista, puerto, aeropuerto.

8.-CONTRATO HOLDING

Definición: Holding es una palabra inglesa utilizada para referirse a la compañía que controla las actividades de otras empresas mediante la adquisición de todas o de una parte importante de sus acciones. Los Holdings son considerados como una forma de integración y colaboración empresarial.

* Utilidad de un holding: Mediante un Holding se logra tener el control de buena parte de los factores y elementos que hacen parte de un proceso productivo, lo que permite que el Holding controle desde * la extracción de la materia prima, * su transformación y * la colocación final del producto en manos del consumidor. * Un Holding puede controlar toda la cadena o proceso de un bien o servicio, lo cual le permite * minimizar riesgos y maximizar utilidades.

Característica esencial es la existencia de una relación de control que permite a una sociedad ejercer una influencia dominante y efectiva.

9.- CONTRATO DE FACTORAJE FINANCIERO

Definición: consiste en la adquisición de créditos provenientes de ventas de bienes muebles, de prestación de servicios o de realización de obras, otorgando anticipos sobre tales créditos, asumiendo o no sus riesgos.1 Por medio del contrato de factoraje un comerciante o fabricante cede una factura u otro documento de crédito a una empresa de factoraje a cambio de un anticipo financiero total o parcial. La empresa de factoraje deduce del importe del crédito comprado la comisión, el interés y otros gastos.
