WIL-MOR TECNOLOGÍAS: ¿HAY UNA CRISIS?

1. ¿Porqué se firmó esta JV?

Esta JV se creó debido a varios factores que modificaron el mercado automovilístico del norte del continente Americano a finales del siglo XX. Al darse esos distintos factores Wilson, una empresa Americana dedicada a la producción de componentes para automóviles y electrodomésticos, se vio obligada a encontrar nuevos clientes a los que proveer con sus productos.
Todo empezó con la internacionalización de las grandes empresas automovilísticas niponas (Toyota, Nissan y Honda). Éstas empresas se introdujeron en el mercado americano, mediante la “trasplantación” de sus plantas de producción, y empezaron a ganar cuota de mercado a unos de las mayores clientes de Wilson, los Tres Grandes (Ford, Chrysler y General Motors). A este fenómeno se le unió la apreciación del yen y la depreciación del dólar, lo cuál influenció aún más esta “huida” de las empresas japonesas debido a que los costes de producción eran mucho más elevados en Japón que en América.
Wilson vio la necesidad de empezar a estrechar lazos con los fabricadores japoneses ya que se estaban convirtiendo en unos futuribles clientes con un gran potencial. Pero realizar negocios con los japoneses no era, ni es actualmente, tarea fácil. Se trata de una cultura muy distinta a la occidental, y tienen unos estándares de calidad, control y gestión muy altos, y es requerida una muy buena reputación; por lo que intentar convertirse en cliente de una gran productora de vehículos como Toyota no supondría un camino fácil y por tanto no era una buena idea.
La mejor solución era realizar una JV con Morota, una empresa japonesa dedicada a la fabricación de componentes tecnológicos. Ambas se verían favorecidas por la empresa conjunta. Por un lado Wilson conseguiría estrechar lazos con Toyota debido a que Morota ya proveía con anterioridad a la

November 2, 2010 Executive Summary After nearly four years since its founding, Wil-Mor, the joint venture (JV) between American-owned parts manufacturer, Wilson, and Japanese-owned manufacturer, Morota – is fast approaching a crossroads. The JV was formed in 1993 to support the “transplant” model of assembling Japanese-designed cars in the United States. From an American business mindset, Japanese automakers like Toyota, Honda, and Nissan had a fiercely, almost irrational, loyalty to their suppliers. This loyalty, coupled with the growing market share of Japanese cars and increased domestic supplier competition, made the Wil-Mor JV a natural outgrowth for longstanding licensing partners Wilson and Morota. However, Wil-Mor’s first 18 months was fraught with unexpected setbacks. Neither parent company anticipated the leadership characteristics required to harmonize cultural differences and Wil-Mor’s initial leadership proved so divisive that it had to be removed after a year into operations. Start-up times and costs were much higher than Wilson – and the Wil-Mor pro-forma – predicted. While Japanese quality standards were known to be high, the costs associated with quality (i.e. reduced production output) was also greater than Wil-Mor predicted.
