CASE STUDY: CHALLENGES OF CHOOSING A NEW BOARD CHAIR

1. What issues does this Board have?
The major issue which the Board of Welcome Communities is facing is that they do not have a strong leadership Board Chair to lead and make strategic decisions for the organization. There are several internal weaknesses of the Board that causes this problem. Many other things need to be considered as well.
First, the structure of the Board and the responsibilities of the seats are not clearly defined. Based on the case, we can see that the organization did not develop a board structure to guide the job distribution right from the beginning. This should have been done in order to be sure that the board members will not be confused about the job responsibilities. A well-structured board should include at least five branches: a Board Chair, and four Committees specializing in Finance, Development, Human Resources, and Funding. However, in this case, Umberto took on the job of seeking donors’ support instead of supervising each committee’s duty. Furthermore, because he did not set a good example of a Board Chair, and the other members on the board are not able to fully understand what the job responsibilities consist of. Therefore, the members grow concerned about what the job entails of, which leads to only one member willing to step up for nomination. The unclear job definition also causes a passive attitude in the Board. Each member seems to want to cut back a little on their involvement, and is not especially keen on each job, such as finding a new board member or taking on more responsibility. Even though Ming and Lee took over the job of selecting new members, they only did so because no one else would have taken the job.
