摘 要: 2006年财政部出台了新的《企业会计准则——债务重组》,在原有准则的基础上做了系统性的修改,与国际会计准则实现了实质性的接轨。新债务重组准则重新界定了债务重组环境,规范了债务重组双方的会计处理方法,引入了公允价值计量模式,对ST上市公司产生了重大影响。新准则规定重组收益差额利润化,形成了有助于虚增利润的表象,但在实质上制约了ST上市公司违规操作行为,对于提高会计信息质量起到了巨大的积极作用。 关键词: 债务重组,新准则,ST上市公司,重组利得

Influence of new debt restructuring standard on listed companies specially treated

Abstract: Ministry of Finance published the new accounting standard of debt restructuring in 2006. The standard was modified systematically and has been substantively geared to the international standard. The debt restructuring was redefined; accounting treatment was reset; the sound value was put into practice. Thus, it exerts a major influence on the listed companies specially treated. The new standard requires that the earnings from the debt restructuring should be registered into profit. And it shall display an idea of inflated profits. Nevertheless, the new standard virtually restricts the irregular operation of listed companies specially treated, leading a significant role in increasing the quality of accounting information. Key words: debt restructuring, new accounting standard, listed companies specially treated, earnings from debt restructuring 随着经济全球化趋势日益加深,我国社会主义市场经济体制的不断完善,会计作为国际通用的商业语言,实现我国会计准则的国际趋同显得非常必要和迫切。为此,2006年2月15日,财政部发布了包括《企业会计准则——基本准则》和38项具体准则在内的企业会计准则体系。新准则在原有会计准则体系的基础上做了系统性的修改,涉及的具体准则众多,且修改内容广泛,特别是“公允价值”计量属性的引入,使我国会计体系实现了与国际财务报告准则的实质性趋同。新准则的出台是中国会计历史性的变革,有利于加速中国融入世界经济一体化进程。新的《企业会计准则——债务重组》对有关条款进行了实质性的修改,并引入“公允价值”计量模式。新旧准则的差异在一定程度上影响财务报告的数据和信息的披露,对上市公司特别是ST、*ST等绩差股具有重大影响。 一、新债务重组准则的出台
