...it be a small or a large company, is that it needs capital. The more capital is attracted the more chances you have to build a really great business. Any company needs substantial amount of cash to develop its operations. Commercial banks, investment banks, investment funds, stock issues, debentures and so on are the investor sources that can lend you money. But the most complex question is - how to attract the investment at a low cost? Experience has shown that investors are driven by a few major motives: 1. Financial reward Investors expect to quintuple their money that’s why they prefer to commit to market niches with greater growth potential. In reality they rely on the feeling that a particular entrepreneur is worth investing in. But still, there is a minority, that takes a more professional approach, and they will often have explicit annual return goals in mind. 2. Taking part in the entrepreneurial process Usually investors are those who have already achieved success in their business career. So they like to use time and money available to them to experience the challenges once again. 3. Altruism In some cases investors are keen to pass on their skills to the next generation of entrepreneurs. They hope to promote the spirit of entrepreneurship that can create jobs and promote economic prosperity. ...(a) Why did CSX make a two-tiered offer? What effect does this structure have on the transaction? A two tiered deal was made by CSX because of the heavy regulation Pennsylvania has for mergers and to provide financial considerations for Conrail’s shareholders. Pennsylvania’s Business Corporation Law makes it difficult to perform a first tier tender offer this is why CSX choose to split the offer into two stages. The first stage cash offer of $92.50 per share enables CSX to gain control of Conrail’s stock as shareholders should be willing to trade their ownership for such a significant payout. The remaining shareholders who decide not to give up their shares will only be paid $86.78, calculated from taking the initial stock price of $46.75 multiplied by the exchange ratio of 1.85619. This creates an incentive for shareholders to initially take CSX’s offer to speed up the deal process. This type of two-tier structure has an effect on the transaction. To start, the first tier offer receives only 19.3% which avoids the Pennsylvania one-price-deal and instead allows the process to become a vote. Eventually 35.6% will be owned including the shares owned by management and therefore only 14% more is required to have an opt out approval for the second tier. Finally, by utilizing the second tier offer shareholders are enticed to vote for the opt out provision which ultimately gives the remaining 60% of shareholders a lower value for their share price. (b) What are the economic...

Wal-Mart operates with a contemporary approach because each of the four characteristics are realized and acted upon almost on a daily basis. It wasn’t always that simple, back before the implementation of computers Wal-Mart used ledgers to track this data. The principle of tracking previous year’s data or forecasting as it is called now was something that Sam Walton instilled in his store managers. Sam Walton would instil responsibility within his department managers and hold them accountable. This approach was not without reward. By allowing his associates and managers to be creative, those same principles or best practices were emulated into other stores. It was this kind of thinking that lead to new strategies and innovations for Wal-Mart. This creative process which was started by Sam Walton was a driving force in the creation of Wal-Mart’s culture. In light of what Sam Walton’s original strategy and where Wal-Mart is today there is a gap that exists between the company and its...

Disney was looking to receive bank financing for this new entity of HKD 2.3bn as a Delay Draw Term Loan (“DDTL”) plus HKD 1.0bn working capital line (“Revolving Credit Facility” or “RCL”). While they had learned from their most recent experience with Disneyland in Paris not to have a too aggressive capital structure in place, they nevertheless demanded significant flexibility with regard to the following terms and conditions: - 15 year tenor - delayed amortization structure which would start as late as 3 years after the opening of the park, i.e. 8 years after closing of the loan and 6 years after funding of the loan - allowed CAPEX for further expansion (instead of using FCF for amortization) - full underwriting of the deal by up to 3 Lead Arrangers - no subordination of management and royalties - main collateral for the deal (land) would only become gradually available as the government first needed to reclaim the land Not only did Disney remain conservative with regard to the overall capital structure (see Exhibit 5 in case) but they also chose to access the markets in 2000 in order to ensure access to funds at attractive pricing despite having to pay commitment fees during the first two years when the DDTL...
