...Production Payments, and Project Finance Collateralized Debt Obligations Christopher L. Culp and J. Paul Forrester* I. INTRODUCTION Project finance is the extension of credit to finance an economic unit where the future cash flows of that unit serve as collateral for the loan. By facilitating the separation of project assets from the sponsor and enabling the financing of those assets on the basis of the cash flows they are expected to generate, project finance can allow a sponsor to undertake a project with more risk than the sponsor is otherwise willing to underwrite independently. Project finance can also help sponsors avoid incurring leverage beyond tolerable levels, thereby helping them preserve their debt capacity, credit ratings, and cash flows for alternative capital investment activities. Large-scale oil and gas projects have been popular subjects for project financing since the inception of the market. Indeed, modem project finance is thought to have begun in the 1930s when a Dallas bank extended a nonrecourse loan to finance an oil and gas project. The framework of the law resembles The New Deal in the 1930s because of the Great Depression. The reforms implemented by the Dodd-Frank Act will have far-reaching effects on the financial system and our economy. The Dodd-Frank Act allows company stockholder to determine the type of compensation packages of that management receive. Businesses must create a committee to assess and decide the amount awarded to their leaders. There are myriad of viewpoints towards Dodd-Frank from the detractors and proponent of the law. Individuals who are against the law believe that it is inflexible and will hurt businesses. The supporters of the law understand that this will limit the power of the financial institution. Dodd-Frank Act In 2008, the country was going through one of the worst financial crisis in history that resembled the Great Depression of the 1930’s. ...Brenda Edwards FIN/370 Version 7 March 3, 2014 The market of finance tends to work within the United States (U S) by agents buying and selling items such as stock, bonds, products, merchandise, and dealing in foreign exchange. Wall Street, capital markets, and “the markets” are nicknames for the financial marketplace that many people tend to use in attaining data for a beneficial gain. Likewise, a company uses the monetary markets to assist in achieving capital to enhance the profitability for the long run. Firms that are able to gain funds in large quantities will show the capabilities of possibly expanding when using the market productively (Amazon Investor Relations, 2014). Dow Jones Industrial Average (Dow) and the S & P 500 are both index funds, by way of Wall Street, as sources by tracking the performance of stock by groups, permitting decisions to be made of whether to sell or buy stock (Sheridan Titman, 2011). The aforementioned process is significant because the savers are able recognize when a firm’s earnings increase and thereby money comes to them as a payback. This in turn, helps to maintain the United States monetary situations stimulation and assist in a normal expected growth. ...The biggest producer of beer in American is Anheuser-Busch (AB). Formally the largest brewer in America, Anheuser-Busch is now part of the global beverage company InBev, the maker of approximately 200 brands of beer and soft drinks that primarily includes Stella Artois, Becks, Leffe, Hoegaarden, Skol, and Michelob. AB InBev, through its interest in Grupo Modelo, also offers the Corona brand. The company is valued at 130 billion dollars with revenues over 31 billion worldwide. The flagship product is Budweiser, the most popular beer brand in North America with a 20% market share along with Bud Light. Part of the reason for this control of the market is the complex system of distribution in the beer industry put in place since the end of prohibition. This system has enabled brewers to tightly control their distributors and in turn, distributors have control of their individual markets. Before prohibition, brewers controlled their own bars. If you wanted Budweiser you had to go to a Budweiser bar. They provided the bar owners not only with beer but gave loans for furniture, beer equipment and other needs. They required the owners to carry only their brands. After the repeal of prohibition, states enacted strict laws to control the alcohol industry. The three-tier system of beer distribution was developed. This is a 2-level vertical marketing system where the brewer awards a distributorship to a geographic area. AB does not sell directly to consumers; they sell Budweiser to the...
