Marriott Corporation

Marriott Corporation es un Holding que tiene tres grandes líneas de negocio:

• Alojamiento (Hoteles). • Contratos de Servicios. • Restaurantes.

Debido a la diversidad de sus filiales, es necesario para esta organización tener un método que permita estimar de manera confiable cuales proyectos aumentan el valor de los accionistas.

El método para estimar aquellos proyectos que son rentables, consiste en traer los flujos esperados de estos proyectos a valor presente por medio de una tasa descuento, la cual equivale al costo de capital de la empresa. Debido a que Marriott Corporation posee líneas de negocio que son muy diferentes entre sí, es necesario calcular el costo de capital de cada una de las filiales, para luego estimar el costo de capital del Holding.

A continuación se presenta un resumen de las estimaciones del costo de capital para Marriott Corporation y sus filiales. Para la estimación se utilizará el modelo de M&M del año 1963, el que incorpora los beneficios tributarios.

La estructura objetivo de Capital (B/V) del Holding y sus filiales esta dada por las políticas de la Compañía. Es posible apreciar que las filiales de Contratos de Servicios y Restaurantes tienen un nivel de endeudamiento moderado (en torno al 40%), no obstante, en los Hoteles presenta un leverage alto, cercano al 75%, provocando que el nivel de endeudamiento del holding sea elevado.

Producto de esta política, la filial de Hoteles de la compañía tiene un alto riesgo de quiebra, sin embargo, el modelo utilizado para estimar el costo de capital no incorpora los costos de quiebra (M&M ´63). Por esta razón, la estimación del costo de capital de los Hoteles debiese estar subestimada, ya que, al tener una empresa un mayor nivel de endeudamiento y altos impuestos el modelo estima un mayor valor de empresa y una menor tasa de costo de capital. Sin embargo, como se presenta en la literatura, estos costos reducen en aproximadamente un 3% el valor de la empresa, por lo cual para el presente estudio se desestimarán.

2. Supuestos

• Se considerará como Tasa Libre de Riesgo para los Hoteles de Marriot, la tasa de los bonos gubernamentales a 30 años equivalente a 8,95%. En tanto para los Restaurantes y los Contratos de Servicios se utilizará la tasa de los bonos gubernamentales a 1 año, equivalente a 6,90%. Esta decisión es producto de la larga duración de los activos de hoteles y la menor duración para los activos de las otras dos filiales. En tanto para la compañía se decidió evaluar con la tasa máxima de las tres filiales, vale decir, 8,95%. • Para ser consecuentes con el anterior supuesto, el premio o prima por riesgo utilizado para la Corporación y la filial de Hotel corresponde al promedio aritmético de la diferencia entre los retornos del índice S&P 500 y los bonos gubernamentales de largo plazo, que entre 1926 y 1987 asciende a 7,43%. Por su parte para los contratos de servicios y Restaurante se utilizó esta misma diferencia, pero en papeles de corto plazo, por lo cual el premio utilizado es de 8,47%. • La tasa de impuesto utilizada corresponde a la del último año, es decir, 44,10% • Las ganancias y ventas de las filiales de Marriot Corporation tienen la siguiente distribución:

3. Estimación del Costo de la deuda (Kb)

El Kb del Holding y las filiales se estima aplicando un spread a las tasas de los bonos de EEUU de 10 años. Los spread aplicados y el Kb de las filiales y del Holding son los siguientes:

Es importante destacar que pese a que los hoteles tienen el mayor nivel de endeudamiento, son los que pueden captar las menores tasas del mercado de las tres filiales, debido a que poseen un mayor nivel de activos.

4. Estimación del beta de la deuda (βd)

Para estimar el Beta de la deuda de las filiales y el Holding se utilizó la siguiente relación:

5. Estimación del beta sin deuda del patrimonio

El valor de los betas sin deuda del patrimonio serán estimados dependiendo de la filial y de la cantidad de información con la se dispone.

• Marriot Corporation: Dado que se dispone de [pic] de Marriot Corporation, es posible estimar el [pic], para ello es necesario des-apalancar según el [pic] y el[pic] de la Corporación.

• Hoteles: Se utilizó como Proxy el [pic] de Holiday Corporation, debido a que esta empresa tiene el nivel de ventas más cercano al de Marriott, y además, ambas presentan niveles de endeudamiento similares. Posteriormente es necesario des-apalancar según el [pic]de Holiday y el[pic] de los Hoteles de Marriot, se estima el [pic]de los Hoteles.

• Restaurantes: Se utilizó como Proxy el [pic] de Wendy´s International, debido a que esta empresa tiene un nivel de ventas cercano al de Marriott, y además, ambas presentan niveles de endeudamiento similares. Posteriormente, al des-apalancar según el [pic]de Wendy’s y el [pic] de los Restaurantes de Marriot, se estima el [pic]de los Hoteles.

• Contrato de Servicios: Debido a que se conoce el [pic] del Holding y se estimó el [pic]de los Hoteles y los restaurantes, es posible obtener el [pic] de los contratos y servicios despejando este valor desde una ecuación en la cual se aproxima que la suma de los Beta sin deuda de las filiales ponderada por el porcentaje de las ganancias es igual al beta sin deuda del Holding. No obstante, es importante destacar que esta estimación corresponde a una aproximación de acuerdo a la información disponible.

10. Conclusiones

De acuerdo al informe presentado es posible concluir los siguientes aspectos:

1. La estructura de capital del holding es elevada (60%) producto del alto nivel de endeudamiento que posee la filial de hoteles (74%). Al evaluar el Spread exigido a la filial de Hoteles, éste resulta menor debido a la gran cantidad de activos que posee para respaldar la deuda.

2. Los proxy’s utilizados para estimar el [pic] de las filiales, resultan ser un buen criterio de aproximación, dada la cercanía en el nivel de ventas y apalancamiento, con alguna de las empresas con datos expuestos.

3. En el caso de los hoteles, el beneficio tributario (tasa 44,10%) produce una disminución significativa al momento de estimar el costo de capital [pic], esto considerando una tasa [pic]de un 10,05% y una tasa de costo de capital [pic] de un 8,71%, lo cual se traduce posteriormente en que el [pic]

4. Es importante señalar la elevada tasa exigida por los accionistas en las filiales de restaurantes (20,17%), esto es producto del elevado spread exigido sobre la rf (poseen pocos activos) y el elevado beta con deudas.

5. Dada la estrategia financiera y operación aplicada por Marriot, consistente en incrementar la tasa de descuento en un 1%, los resultados del costo de Capital Final para cada una de las divisiones sería de:

Se observa según la última tabla, que el costo del capital para el caso de los hoteles resulta aún inferior al 10%, por lo cual el proyecto sería rentable y el crecimiento en el caso de los hoteles sería elevado.
