The author presents real-life commercial transactions in a practical story to demonstrate how the Universal Commercial Code applies. The book centers around Stephen Seller, a 25 year old beach bum living on Key Biscayne Florida. Stephen receives a $1.5 million settlement from his grandfather, however, there is one caveat; Stephen must to go into business within one year. Stephen decides to start a boat business. He hires Alan Lawyer to help him form a corporation, enter into a distributorship agreement with a boat manufacturer, and obtain bank financing.
