DHAKA BOURSE EGM POSTPONED AFTER HC STAY ORDER
The High Court has imposed a 4-week injunction on the extraordinary general meeting (EGM) of Dhaka Stock Exchange that was scheduled to be held yesterday in line with the approved demutualisation scheme. Justice Mamnoon Rahman issued the injunction on Monday after Ahmed Iqbal Hasan, a stockbroker and former president of DSE, filed a petition challenging the EGM.
‘We are also not properly informed about the matter yet as we were served a notice by the lawyer of Ahmed Iqbal Hasan few hours before the EGM,’ DSE president Ahsanul Islam told New Age when asked about the issue. He said the DSE could only confirm the validity of the claim in the attorney general’s office within such short time and had no other way but to postpone the EGM. ‘We had announced the EGM date long before. If anyone had any problem he should have raised the issue earlier,’ he said
The hearing on the injunction will be held on November 25, said Ahsanul Karim, a lawyer of the petitioner. “Due to an injunction order, the EGM scheduled for October 29 could not be held,” the DSE said in a statement. The EGM was necessary to modify the memorandum and articles of association of the premier bourse in line with the demutualisation scheme, which is approved by the regulator on september 26.
The demutualisation, which separates the management of an exchange from its ownership, of the bourses was recommended for ensuring better corporate governance by a government committee that investigated the 2010-11 stock market scam. The DSE was also scheduled to adopt the demutualisation scheme and select the first board of directors for the exchange under the scheme at the EGM.
